This limitation applies regardless of the legal theory (contract, negligence, strict liability, etc.).

10. DISPUTE RESOLUTION
Governing Law and Jurisdiction
These terms are governed by and construed in accordance with the laws of the United States, specifically the State of Delaware. Any legal action must be filed in the state or federal courts located in Delaware. You consent to the personal jurisdiction of such courts.
Mandatory Arbitration Process
Initial Dispute Resolution:
We encourage informal resolution through direct communication within 30 days of notification. We will make good-faith efforts to resolve any issues.
Formal Arbitration Requirements:
If informal resolution fails, disputes will be resolved through binding arbitration:
- Arbitration is conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, in English, before a single arbitrator. The initiating party must provide written notice with a detailed claim description and proposed resolution. Hearings may be virtual. The arbitrator will issue a reasoned written decision.
- Cost Allocation
- Filing and arbitrator fees are shared equally. Each party bears its own legal costs, travel expenses, and document production costs.
Class Action Waiver
You waive the right to participate in class actions, class-wide arbitration, consolidated claims, representative actions, and private attorney general actions. All disputes must be resolved individually; no joining or consolidating claims is permitted.
- Exceptions to Arbitration
- Arbitration does not apply to: (a) intellectual property disputes (copyright, trademark, patent, or trade secret claims); (b) small claims court actions within jurisdictional limits brought individually; or (c) requests for emergency or injunctive relief.
Time Limitations
All claims must be brought within six months of the incident date, or upon discovery of the claim basis, whichever is later, subject to applicable statutes of limitations and regulatory requirements.

11.1 Modification Rights
- Cerebrum reserves the right to modify, suspend, or discontinue any aspect of its services, with or without notice, subject to the notice requirements below.
11.2 Notice Requirements
- Material changes: 15 days advance notice via email. Emergency changes (security, legal compliance, Force Majeure, system stability) may be implemented immediately without notice.
11.3 User Rights
- You may terminate your subscription if you disagree with material changes. Continued use after changes constitutes acceptance. Changes do not affect prior transactions.
12. ACCOUNT TERMINATION
12.1 User-Initiated Termination
- You may terminate your account at any time via the self-service portal, Help Center, or email (help@cerebrumiq.com), with no termination fees. Termination takes effect immediately, but your current billing cycle runs to completion with no refund for unused time.
12.2 Cerebrum-Initiated Termination
- We may terminate or suspend your account for policy violations (including fraud, abuse, security breaches, payment defaults, or false information) or for legal and regulatory reasons (including court orders, government requests, or age verification failures).
12.3 Post-Termination
- Upon termination, all access is immediately revoked. User content is archived for a limited period to allow for reactivation, after which it is permanently deleted. Account data is retained only as required by law and otherwise handled per our privacy policy. Any remaining credit balance will be refunded.
